11. Governing law
Dutch law applies to this website and to these terms and conditions. Disputes will be submitted to the competent court in the Netherlands unless mandatory law requires otherwise.
12. Additional Partner Terms
The following additional terms apply to the partner program.
12.1 Definitions: in these partner terms, Partner means the business party participating in the partner program; Services means the research and advisory services provided by Stramigo; Output means analyses, advice, reports, and other results from the services; Regular rates means the non-partner rates Stramigo applies for comparable services.
12.2 Applicability and precedence: these partner terms apply in addition to the general terms. In case of conflict, the following order applies: (i) written custom agreements/quotation, (ii) these partner terms, (iii) the general terms.
12.3 Price and invoicing: the fee for the first contract year is EUR 600 excluding VAT. This amount is invoiced annually in advance in euros (EUR).
12.4 Payment: invoices are payable within 14 days from invoice date. In case of late payment, Stramigo may charge statutory commercial interest and reasonable extrajudicial collection costs and/or suspend services.
12.5 Term and renewal: the partnership starts with a 12-month term and is then automatically renewed for successive 12-month terms unless the partner cancels in writing at least 2 months before the end of the current term. If cancellation is not timely, the next contract year will be invoiced.
12.6 Annual price changes: price changes may be applied per new contract year. For annual indexation, Stramigo follows CPI (Statistics Netherlands), capped at 5% per year without separate prior notice. If an increase exceeds 5%, Stramigo will notify the partner in advance, no later than 2 months before the new contract year starts.
12.7 Partner benefits: the partner program is intended for agencies and in-house marketing teams and includes, among other things, (i) partner rates that may be up to 20% below regular rates, (ii) research support from setup to recommendations, (iii) in many cases results within 24 hours, (iv) the option to use private AI environments per brand or client, and (v) the option for a partner listing with logo and website link on the partner page.
12.8 Scope of benefits: listed benefits are part of the collaboration but may depend on study type, planning, available capacity, and partner fit. Partner-page listing is subject to mutual alignment and delivery of suitable logo and link assets.
12.9 Advice and responsibility: advice, analyses, and recommendations from Stramigo are (partly) automated and AI-supported and are advisory in nature. No rights may be derived from this output. The partner and/or user remains fully responsible at all times for data interpretation, conclusions drawn, and decisions and execution based on them.
12.10 Intellectual property and usage rights: all intellectual property rights relating to the Services and methodology remain with Stramigo. The partner receives a non-exclusive right to use Output for internal use and client work within the partner's own service delivery. Resale of the Service as a standalone Stramigo service under the partner's own name without written consent is not permitted.
12.11 Confidentiality: parties shall treat all non-public commercial, technical, and operational information received in connection with the partnership as confidential and use it only for performance of the collaboration. This obligation remains in force for 2 years after termination of the partnership.
12.12 Privacy and data processing: parties shall comply with applicable privacy laws (including GDPR). Where Stramigo processes personal data on behalf of the partner, the parties may enter into additional data processing terms (DPA). The partner remains responsible for lawful basis and accuracy of data supplied by the partner.
12.13 Availability and support: Stramigo aims to deliver services carefully and on time, but does not guarantee uninterrupted availability or specific outcomes unless agreed otherwise in writing.
12.14 Termination and effects: in addition to regular cancellation, Stramigo may terminate the partnership with immediate effect in case of material breach, fraud, abuse, or insolvency of the partner. Upon termination, future partner rights lapse; amounts already invoiced for the current term are non-refundable unless agreed otherwise in writing.
12.15 Liability under the partner program: Stramigo's liability under the partner program is limited to the amount paid by the partner for the partner program in the 12 months preceding the event causing damage (capped at EUR 600), except in cases of intent or wilful recklessness by Stramigo. Liability for indirect damage, consequential loss, loss of profit, and loss of savings is excluded to the extent permitted by law.
12.16 Changes to partner terms: Stramigo may amend these partner terms. Changes apply from the next contract year and are communicated in advance via the website or by email to the partner contact person.
13. Changes to these terms
We may change these terms and conditions. The most recent version will always be available on this page.
